Multi-Month Plan Agreement
MULTI-MONTH SUBSCRIPTION AGREEMENT
Mindful Wellness Inc. is limited to providing consultations for non-emergency matters. If you believe you are experiencing a medical emergency, please dial 911 or your local medical provider.
MULTI-MONTH PLAN
Mindful Wellness Inc. (“Mindful Wellness”) owns and operates the website mindfulwellness.com (the “Website”), which facilitates customized health services provided by licensed Registered Dietician Nutritionists (RDN) and MDs who are Board Certified in Obesity Medicine, CBP-I for sleep therapy and prescription medication (“Mindful Wellness Services”) with scheduling through a third party scheduling software, Zoho Bookings. This Multi-Month Subscription Agreement (“Agreement”) includes the terms and conditions for participants who utilize a multi-month pre-paid plan (“Multi-Month Plan”). If you disagree with this Agreement or any terms or conditions herein, your role remedy is to discontinue your use of Mindful Wellness Services. If you discontinue use of a Multi-Month Plan you will remain responsible for any pre-paid fees unless otherwise provided under this Agreement.

Participant Eligibility
The Multi-Month Plan is available to new and existing Mindful Wellness patients in States where Mindful Wellness is authorized to provide services. Pre-Paid Multi-Month Plans are only available on a going forward basis and existing patients will only be eligible to sign up for these discounted rates prospectively.
To enroll in a Multi-Monthly Plan, new patients must complete the standard onboarding process and both new and existing patients must agree to the terms of this Agreement, including any payment terms and recurring billing authorizations.
Eligible Mindful Wellness Services
The following Mindful Wellness Services are eligible for a Multi-Month Plan:
- GLP-1 Program
- Tirzepatide Plan
- Semaglutide Plan
- Pediatrics
- Health Coaching
- PHYSIQ Treatment
- Regular meetings with clinicians
Mindful Wellness Services do not include hospital services or any services not personally provided to you by Mindful Wellness.
MULTI-MONTH PRICING STRUCTURE
Pre-Paid Pricing Structure
By enrolling in a Multi-Month Plan, you agree to prepay for Mindful Wellness Services for a specified term (e.g., 3, 6 or 12 months) at a discounted rate, as outlined in the pricing details provided during enrollment. You will not be billed upfront under the Multi-Month Plan unless otherwise agreed to for a reduced rate. Instead, charges will be billed monthly based on your treatment plan, with fees not falling below the agreed-upon rate for the Multi-Month Plan, unless otherwise provided in this Agreement.
Non-Refundable Policy
Payments made under a Multi-Month Plan are non-refundable, except as required by law or explicitly stated in this Agreement.
Additional Fees
There may be additional fees owed for the Mindful Wellness Services or other services which are not included in the Multi-Month Plan payment amount if additional products are added over and above the initial treatment plan. You understand that participants shall be responsible for any costs for any procedures, laboratory testing and specimen analysis.
Auto-Renewal
After the expiration of the Multi-Month Plan, your plan will auto-renew on a second Multi-Month Plan under the same terms and conditions. After the expiration of the second Multi-Month Plan, you will be converted to a standard month-to-month plan at the standard monthly rate for the Mindful Wellness Services provided under the Multi-Month Plan unless you cancel as provided in this Agreement or agree to a new pre-paid Multi-Month Plan. The monthly fee for any month-to-month plan will be determined by Mindful Wellness and participants can request information regarding the monthly rate within 30 days of the transition to a month-to-month plan. At that time you will also have the option to continue on your existing Multi-Month Plan for an additional term under the same terms and conditions by notifying contact@mindfulwellness.com in writing within 15 days of the end of your Multi-Month Plan.
Mindful Wellness reserves the right to adjust pricing for future renewals. You may be eligible to receive any advantageous monthly rates you are currently paying prior to the Multi-Month Plan if you maintain a live subscription with Mindful Wellness without any interruption of service. However, participants who cease using Mindful Wellness Services and return will be subject to prevailing market rates and promotions.
TERMINATION
Participant Cancellation
You may cancel your participation in the Multi-Month Plan or renewal on a month-to-month plan upon providing thirty (30) days written notice to cancellation@mindfulwellness.com.
If cancellation occurs at any time during a Multi-Month Plan, you will remain responsible for fulfilling the payment obligations for the remainder of the Multi-Month Plan. However, if you are unable to continue the Multi-Month Plan due to health-related issues, as determined by a healthcare provider, you may cancel your commitment without incurring further charges so long as you provide documentation from your health care provider indicating that you cannot continue participation because of a health-related issue.
If cancellation occurs after the end of the Multi-Month Plan and when you are on a month-to-month plan you agree to pay fees for the 30 days prior to the cancellation taking effect, including a pro-rata amount for the last month of service.
Mindful Wellness Cancellation
Mindful Wellness reserves the right to terminate a participant’s enrolling in the Multi-Month Plan for a participant’s non-compliance with medical directives, the failure to maintain payment obligations or any other violation of the terms for receiving Mindful Wellness Services. In such cases, you understand that you will remain liable for the payment of all outstanding amounts owed for a Multi-Month Plan.
Cancellation due to Medication Shortage or Regulatory Change
In the event of a medication shortage or a regulatory change that impacts Mindful Wellness’ ability to provide the Mindful Wellness Services, Mindful Wellness reserves the right to terminate the services if a comparable product, as determined by Mindful Wellness, is not available. Participants will be notified promptly and may be offered a comparable product or service at Mindful Wellness’ discretion. If no product or service is offered after such a cancellation, the remaining portion of any payments owed will be refundable.
Effect of Cancellation
If the Multi-Month Plan is cancelled, any unused portion of the term of the Multi-Month Plan is non-refundable unless otherwise explicitly provided in this Agreement.
Payment Methods
Payments must be made using a valid credit or debit card authorized for recurring transactions. Payment on a Multi-Month Plan will be automatically billed using your payment method on file monthly for the upcoming month of Mindful Wellness Services.
Recurring Billing Authorization
By agreeing to participate in a Multi-Month Plan, you authorize Mindful Wellness to charge your payment method on file for the full amount of the Multi-Month Plan and for any future Multi-Month Plans or month-to-month arrangements.
No Insurance or Medicare
Participants may not be able to utilize insurance or Medicare for payment of the Multi-Month Plan.
Mindful Wellness is not contracted with any insurance provider, including, but not limited to any preferred provider organization (PPO) networks and health maintenance organizations (HMOs). Although Mindful Wellness cannot guarantee insurance coverage, it may provide you with an itemized statement of medical services rendered and you may submit claims to your insurance carrier(s) for possible reimbursement. You agree and acknowledge that the Agreement does not replace any existing or future health insurance or health plan coverage that a participant may carry.
Mindful Wellness is also not covered by Medicare and has opted out of Medicare. If you are a Medicare beneficiary, you are required to complete a Medicare Beneficiary Acknowledgment form related to any services provided, which states that you understand that Mindful Wellness Services are not covered by Medicare and that neither you nor Mindful Wellness can submit any claims to Medicare for the Mindful Wellness Services. You are responsible for reading the Medicare Beneficiary Acknowledgement carefully to ensure you understand your rights and responsibilities.
Failed Payments
If payment fails, Mindful Wellness may suspend access to Mindful Wellness Services until payment is resolved. Any time services are suspended it will not extend a Multi-Month Plan and all payments owed under the Multi-Month Plan will remain due and owing despite the suspension of services.
Late Fees
If for any reason payment fails or a participant fails to pay for any reason, there will be a late fee of $50 for each full month payment is late.
Adjustments to Pricing
Mindful Wellness reserves the right to adjust pricing for future terms after the initial Multi-Month Plan.
Disputes
All disputes regarding billing or services must be submitted in writing to customer support within 30 days of the disputed charge.
MULTI-MONTH PROGRAM LIMITATIONS
Mindful Wellness makes no guarantee regarding the continued availability of specific medications included in the Mindful Wellness Services. In the event of a medication shortage or regulatory restriction, Mindful Wellness will determine and communicate alternative options and continue under any Multi-Month Plan utilizing these alternative options.
Receipt of the Mindful Wellness treatment plan and any prescribed medications are subject to the determination of medical necessity by Mindful Wellness’ healthcare providers.
Modification or Discontinuation of Mindful Wellness Services
Mindful Wellness reserves the right to modify or discontinue the Multi-Month Plan program at its sole discretion. If it is discontinued by Mindful Wellness during the term of a Multi-Month Plan, Mindful Wellness will cease charging under the Multi-Month Plan and participants will receive refunds for nay unused services, unless otherwise prohibited by law.
INCORPORATION OF GENERAL TERMS
Unless expressly stated otherwise in this Agreement, all provisions of Mindful Wellness’ General Terms of Service apply to your participation in a Multi-Month Plan. In the event of any conflict between this Agreement and the General Terms, this Agreement will govern solely with respect to matters specific to the Agreement. By enrolling in a Multi-Month Plan, you acknowledge and agree to be bound by both this Agreement and the General Terms.
